Terms of Service

These terms are an agreement between you (the customer) and DIGITAL URGENCY PTY LTD ("Digital Urgency", "we", "us"). They govern your use of OpenSEO — the multi-tenant business and SEO platform we offer as DigitalUrgency SEO OS — including its CRM, WhatsApp messaging, integrations, analytics, leads, contacts, products, inventory and order-management features. By creating an account or using the platform you accept these terms. Our Privacy Policy and Data Deletion Instructions form part of how we handle your information.

Account owners are responsible for the people they invite, for credentials issued within their organisation, and for activity that happens under their organisation's accounts. You must provide accurate information and keep login credentials confidential. Tell us promptly if you believe an account has been compromised.

You may use OpenSEO for lawful business purposes. You must not use it for:

• Spam or unlawful messaging of any kind
• Unauthorised scraping or collection of data you have no right to collect
• Abuse, harassment, fraud or deception
• Infringing anyone's intellectual property or other rights
• Interfering with the platform's security or other customers' use of it

If you use the WhatsApp features you must also comply with Meta's WhatsApp Business Messaging Policy, its Commerce Policy, and applicable consent requirements — including obtaining appropriate consent before sending marketing messages.

You remain responsible for the contacts, products, messages and other content you upload to or connect with OpenSEO, including having a lawful basis to hold and use that information.

OpenSEO connects to third-party services such as Meta (WhatsApp), Google, WooCommerce and Shopify, and runs on infrastructure providers such as Railway and Neon. Those services have their own terms and their own availability, which we do not control. When you connect a third-party service, you authorise OpenSEO to process the data needed to provide that integration.

We work to keep OpenSEO available, but the service may be interrupted for maintenance, updates, or events outside our control. We may change or improve features over time; if a change materially reduces the service you pay for, you may cancel as described below.

OpenSEO is offered on a monthly base plan that includes an amount of usage, with additional usage available as top-up credits. Purchased top-up credits do not expire; the usage included with the base plan resets each billing cycle. Current pricing is shown on our pricing page.

You can cancel at any time from your billing portal; access continues to the end of the current billing period. Nothing in these terms excludes rights you have under the Australian Consumer Law, including remedies for services that fail to meet consumer guarantees.

Digital Urgency and its licensors own this website and the hosted application, including its branding and design. You own the data your organisation uploads to OpenSEO. You grant us the licence needed to host and process that data in order to provide the service, and nothing more.

Each side must protect the other's confidential information. Keep your credentials secure, and use the platform's controls to limit staff access appropriately. Our security practices are described in the Privacy Policy.

We may suspend or terminate access for abuse, where the law requires it, or for a material breach of these terms that is not remedied after notice. You may stop using the service and cancel at any time. On termination you can request deletion of your data as described in the Data Deletion Instructions.

To the extent permitted by law, OpenSEO is provided "as is" and we exclude implied warranties, and our total liability for claims connected with the service is limited to the amount you paid for the service in the twelve months before the claim arose. Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other right that cannot lawfully be excluded. Where liability can be limited, we limit it, at our option, to resupplying the service or paying the cost of resupply.

These terms are governed by the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Queensland.
